TERMS OF USE

Welcome to the MUAB App

Please read these terms very carefully

[1] INTRODUCTION

1.1. MUAB COMPANY that registered according to the laws of the United States under Commercial Registration No. (_______________) provides the MUAB App (referred to as “the App” or “MUAB”, which is an App on ANDROID and IOS systems that specializes in providing valuable and useful content, and allows users to share or sell content through it.

1.2. These terms of use together with the privacy policy (referred to as the “TERMS & CONDITIONS”) set out and govern your use of the MUABApp, and it is important to read and understand it well. By accessing the App, registering an account, and/ or continuing to use the services, you confirm us that you have read, understood, and agreed with these terms. If you do not consent to these terms, please do not use the App.

1.3. MUAB COMPANY reserves the right to change, modify, add or remove all or portions of these terms, at any time.

[2] DEFINITIONS

The following terms shall have the meanings referred beside to each of them unless the context requires otherwise:

2.1. “App”, “We”, “Us”, or “Our”: Refers to the MUABApp and MUAB COMPANY.

2.2. “User”, “You” or “Your”: Refers to the person who visits or uses the App or registers a membership in the App.

2.3. “Account”: Refers to the user’s account on the App, which enables him to benefit from its services.

2.4. “Content”: Refers to the App content, which includes, but is not limited to (images, texts, videos, information, ads, icons, symbols, letters, and numbers).

2.5. “Agreement”, “Terms & Conditions”: Refers to these terms, as well as the privacy policy, all pages of the App, the descriptions of service, all information and content of the services, and all instructions related to the App.

2.6. “Parties to the Agreement”: Refers to App on the one hand as (a first party in the contractual relationship), and any person who visits or uses the App, registers an account with the App, provides any of the App’s services, or benefits from our services in any way on the other hand as (a second party in the contractual relationship).

[3] ELECTRONIC CONTRACT

3.1. These terms shall be deemed a valid electronic contract complete with legal pillars between you as a user and MUAB COMPANY, and its provisions are binding on all users, and no one may relinquish it as long as it produces its legal effects.

3.2. All binding legal implications of this contract are legally valid from the date of creating an account use of the App and become bound by them as your commitment to the contracts concluded in writing, and it results in the same legal effects that these contracts produce.

3.3. The amendments of these terms shall have the same legal provision and effect as the current version of these terms.

[4] REGISTRATION OF MEMBERSHIP

4.1. In order to register an account and use our services, please download the MUAB App to your mobile device through a third party’s app store (Google Play or Apple Store), which must be solely for your own personal use.

4.2. The membership in the MUAB App shall be for free and direct to the users, and the user must register an account with a username and password, and shall provide us with the membership registration data that might include, but not limited to, name, email address, and phone number.

4.3. The user agrees to provide us with complete and accurate information when registering an account, and we have the right to verify the information you provide to us, and hereby authorize us to request, use, and store such information in accordance with the MUAB App privacy policy.

4.4. The user undertakes to precisely enter the information required to be entered in the MUAB App and he shall be responsible for regularly reviewing this information for the purpose of correcting, modifying, or renewing it as long as you have new information regarding this.

4.5. The user undertakes to maintain the confidential information about his account, and he is responsible for any disclosure of this information to others. Also, he is responsible for any use done by any person to whom he has disclosed this confidential information.

4.6. The user undertakes to inform the MUAB App immediately in case of penetrating the account or its theft as well as discovering any illegal use of this account in the App in order for us to be able to take the technical actions necessary for maintaining the account.

4.7. You may not use another person’s account at any time without having express consent from the MUAB App.

4.8. We reserve the right to cancel the account that have not been confirmed yet or are inactive for a long time.

[5] LICENSES OF USE

5.1. Subject to your full and ongoing obligation with these terms,MUAB COMPANY grant you a limited, revocable, cancellable, non-transferable personal license to:

5.1.1. Download, install and use the App for your personal, non-commercial use on your mobile device owned or controlled by you.

5.1.2. Access and use the MUAB App for your personal purposes.

5.1.3. Access and use the content, information or related materials that may be made available through the services, solely for your personal, non-commercial use, and strictly in accordance with these terms.

5.2. The license granted to the user does not include any property rights on or part of the MUAB App, or any service provided through it, nor does this license directly or indirectly indicate a partnership of any kind between us and the user.

5.3. We may, without notice or liability, impose limits on certain features and services or restrict your access to all or portions of the MUABApp at any time.

5.4. The licenses granted to you by us will terminate if you do not comply with the terms of the MUAB App.

[6] ACCEPTABLE USE POLICY

6.1. The user may not reproduce or make a typical copy of this App, copy, sell, resell any part of it or use it in a different way for purposes of commercial or non-commercial exploitation of it without having express written consent from the MUAB App.

6.2. The user may not use any descriptive marks or any other hidden text which exploits the MUAB name or its trademark without express written consent from the App.

6.3. The user may not attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the MUAB App.

6.4. The user shall not in any of the forms publish any link to websites or other apps via the MUAB App or through any features available within the App.

6.5. The user shall not infringe the copyright, trademark, patent, publicity, moral, database, or other intellectual property rights that belong to or are licensed to us; or any intellectual property rights that belong to third parties.

6.6. The user agrees not to use the MUAB App or any service provided via it in an illegal, deceitful or antisocial way as we determine.

6.7. The users shall bear all the legal liability in case they violate any personal property rights or intellectual property rights over any content published through the MUAB App.

6.8. The MUAB App does not bear any liability regarding the misuse of the content, and it is the liability of the user who misuses the content, and the user in this case is responsible to confront us for that.

6.9. The user may not misuse our services in any of the forms.

6.10. The user declare that notify us in case of the existence of any publications, or content that seem to violate these terms.

6.11. The user agrees not to interfere with the operation of the MUABApp, including distributing viruses or any other technologies such as cancel bots, Trojan horses, harmful code, or similar methods or technology that may disrupt or interfere with the operation or provision of our Services, or harm MUABor the interests or property of others;

6.12. The user agrees not to access, tamper with, or use non-public areas of the App or MUAB's computer systems; or attempt to troubleshoot, scan or test the vulnerability of any MUAB systems or networks or otherwise or breach any security or authentication measures.

[7] POSTING POLICY

7.1. The posts are added by the registered users of the MUABApp, and the user can sell the posts he owns and gain revenue by selling them.

7.2. The user acknowledge and declare that he is the owner of the post.

7.3. The user should add the posts with valuable and useful content, the post should be placed in the correct section and category.

7.4. The user agrees that all posts are added by him is at his personal responsibility, and it does not violate any property rights, encourage terrorism and hatred, or include offensive content or pornographic images.

7.5. The user is prohibited to add:

7.5.1. The posts that violate the MUAB App terms.

7.5.2. The posts that contain immoral, pornographic or offensive content.

7.5.3. The posts that encourage unlawful or illegal conduct.

7.5.4. The duplicate posts.

7.6. The post cannot be deleted in case another user already bought it, and if no one buys it, the post owner can delete it.

7.7. The post owner can only stop selling the post and hide it from his profile.

7.8. The post are revised by the MUAB App administration, and have the right to delete or remove any posts that violates these terms.

7.9. The MUAB App has the right to prohibit the user for a specified period if he used the App for unlawful purposes.

7.10. The MUABApp gets a percentage of [15 %] of the value of the paid posts.

[8] PAYMENT POLICY

8.1. The MUAB App provides payment by contracting with a third party to provide E-payment gateways.

8.2. The user must make sure that the data he enters during the payment process are correct, accurate, and valid.

8.3. The user must use his own bank cards and make sure that the information entered in the payment is correct and accurate before completing the payment process, and if he uses one of the cards for another party, he must have authorization or permission to use it, and thus the MUAB App shall not be responsible towards any party as a result of using his credit cards.

8.4. We do not store credit card numbers on our systems, and payment details are protected before being transmitted using the latest electronic protection technology that follows the highest safety standards.

8.5. MUAB COMPANY has the right to amend this policy by adding new payment methods in the future or canceling any current method, and you will be informed if this is applied.

[9] COPYRIGHTS

9.1. The MUAB App and ideas expressed within it shall be our intellectual property rights. Any imitation or plagiarism of the App or some of its services (including ideas, texts, symbols, and software) shall be deemed to be a violation of our copyrights for which we will take all the legal procedures against the perpetrator of the said violations.

9.2. All the contents included or available within the services of the MUABApp such as (texts, logos, pictures, graphs, voice, recordings, icon buttons, digital contents, materials that are uploaded, software, and collection of data) shall be the property of the MUAB COMPANY, and it are protected by intellectual property.

[10] TRADEMARKS

10.1. The MUAB App and logos connected with it shall be our trademarks and/or our services marks.

10.2. The pictures, logos, headers of pages, icon buttons, texts, and services names shall be trademarks and commercial designs of the MUABApp.

10.3. Reproduction of trademarks or commercial designs of the MUABApp in any media or advertising means shall be prohibited without written permission from us.

[11] LEGAL LIABILITY

11.1. You expressly agree that you are personally liable for the use by you of the MUAB App.

11.2. we provide our services “as available” without any representations or warranties of any kind either express or implied, relating to the use of theMUAB App, content, or services provided by the App.

11.3. We shall not be liable for direct, indirect, consequential, or incidental losses or damages arising from:

11.3.1. The correctness or accuracy of the information provided by users in the content posted on the App.

11.3.2. loss of profits, sales, business, revenue, business interruption, or similar.

11.3.3. The user’s failure to keep the security, confidentiality, and privacy of account data.

11.4. We will not be liable for any failure or delay in the performance of any of its obligations if this is due to force majeure or emergency circumstances.

11.5. The MUAB App does not warrant that technical defects will be repaired or that the App or its servers are free from viruses or other harmful components and you know that the internet might be exposed to corrupt data or its unavailability or the delay of its appearance and you accept that.

11.6. We strive to do our utmost to ensure that the App is available for 24-hour use, but the App might be unavailable from time to time due to the acts of repair, maintenance, or development and you agree that the MUAB App shall not be bound to provide the technical support at any time.

11.7. The user acknowledges that the MUAB App is an internet-based service and in spite of exerting our best to keep information safe, we cannot warrant that information received or transmitted by the user while using the App is safe at all times.

11.8. The liability of using the information that is received or reached by the user through the services of the MUAB App shall completely lie on this user.

11.9. We might at any time modify, suspend or interrupt the services of the MUAB App without sending a notification to you thereof. Also, we might suspend your use of our services in case you violate these conditions and terms or in case you have misused these services from our point of view.

11.10. Without prejudice to its other rights, the MUAB App shall be entitled to suspend or cancel your membership or your access to the App at any time without notice and for any reason and to cancel these terms.

[12] COMPENSATION

12.1. You agree to compensate the MUAB App and to acquit its liability as well as defend it against all the actions and claims brought or claimed by third parties fines, costs, or expenses (including legal fees and attorney’s fees) (“Claims”) arising out of or relating to:

12.1.1. The claims or demands arising from your use of the App.

12.1.2. Violation of the App terms & conditions.

12.1.3. Violation of intellectual property rights, privacy, and any applicable laws.

12.2. The MUAB App excludes from its warranties, clauses, and conditions any financial losses that might be connected with the user or the distorted reputation or any damages arising from your misuse of services or the App, and the App shall not incur any liability or claims in such cases.

[13] TELECOMMUNICATIONS

13.1. We may communicate with you by email to send you updates about terms& conditions, technical notifications, security alerts, support messages, and administrative messages. you agree that all e-communications satisfy all legal requirements as if such communications were written

13.2. The MUAB App requires your consent during the registration process to send messages on your mobile phone or via the App for promotion purposes to inform you of any changes, advantages, or new activities added to the App.

13.3. In case you decide at any time that you do not want to receive promotional messages, you can deactivate the receiving of these messages through correspondence with us. But in this case, we do not ensure that you will enjoy our services fully.

[14] NOTICES

14.1. Any notices you like to send to the MUAB App must be sent through the features specified within the App. Any notices sent outside the App shall not be considered.

14.2. Any notices the MUAB App likes to send to you shall be either by publicizing via the App or sending them to you via the mobile phone number you provided us with during the registration process. You are supposed to have known of the notice as soon as the notice is published via the App or with the lapse of 24 hours from the time at which the message was sent to you.

[15] ASSIGNMENT 0OF RIGHTS AND OBLIGATIONS

15.1. We may assign, transfer, and subcontract any of our rights or obligations to any third party at our discretion without any objection by the user provided that such a third party agrees to be bound to these terms.

15.2. The user may not assign his obligations and rights under these terms or authorize a third party to manage his account except after getting written consent from the MUAB App.

[16] MODIFICATIONS

16.1. MUAB COMPANY is entitled to revise and modify these terms from time to time at its own discretion. The user shall be bound by the changes and modifications done by the App and he has to accept any modifications considered by the MUAB App to be necessary.

16.2. All modifications shall be effective immediately when published and shall apply to all your uses of the MUAB App thereafter.

16.3. We may at any time conduct modifications or improvements we consider appropriate and necessary for increasing the efficiency of the App. The user shall be bound by any directions or instructions provided by the App to him in this regard.

[17] DIGITAL SIGNATURE

Your using the MUAB App services, registering an account, or via clicking for accepting the terms & conditions upon claiming so shall be considered an electronic signature on these terms and express consent of all the terms contained therein, shall be legally enforceable for you from the date of registering the account, using the service or from the date of clicking for accepting the terms & conditions.

[18] LINKS TO EXTERNAL WEBSITES

18.1. The MUAB App may contain links to external websites of third parties, and we have no control over those websites or their contents, and we accept no liability for them or for any loss or damage that may arise from your use of them, and you agree not to involve us in any dispute you may have with any third party website.

18.2. Before enabling any sharing functions of the website to communicate with or visit any such website, we recommend that you review and understand the terms & conditions, privacy policy, and information-sharing functions of each such third-party website.

18.3. The links on the MUAB App do not constitute our consent to the use of such websites, and your use of such websites is at your own risk.

[19] APPLICABLE LAWS

These terms shall be governed by and construed in accordance with the applicable laws of KSA.

If any of these terms shall be deemed unlawful, void, or unenforceable under applicable laws, that condition shall be deemed severable and shall not affect the validity and enforceability of the remaining conditions.

[20] CONFLICT

In the event that these terms conflict with any prior versions thereof, the current version shall prevail.

[21] CONSENT
